These Terms of Service ("Terms") apply to your use of the website operated by Sidebot AI Labs LLC ("Sidebot," "we," "us," or "our"). They describe permitted website use and the limits of the information provided here. Please read them before using the website. If you do not agree, please stop using it.
These Terms govern the marketing website. Paid development, consulting, AI integration, support, and other project services require a separate agreement.
1. Website information and inquiries
The website describes our capabilities and provides ways to contact us. Descriptions, examples, and general statements help you evaluate our services; they are not a binding offer, a final specification, or a promise of a particular result.
Sending an inquiry, requesting a quote, or taking part in an initial consultation does not create a paid service agreement or authorize us to begin billable work. Any offer described as a free consultation applies to the initial discussion, not to development work or ongoing services.
2. Separate project agreements
Before paid work begins, the parties must agree on the relevant scope and commercial terms. The applicable proposal, statement of work, or service agreement should address deliverables, fees, payment timing, milestones, acceptance, confidentiality, intellectual property, support, cancellation, and any data-processing requirements.
A signed or otherwise validly accepted project agreement governs that project and takes priority over these website Terms if there is a conflict. This website does not set a refund policy, subscription commitment, or ownership arrangement for future projects.
3. Permitted use
You may access the website to learn about Sidebot, evaluate services, and contact us for lawful purposes. When contacting us on behalf of an organization, you must have authority to make the inquiry and share the information you provide.
You must not:
- Use the website for fraud, impersonation, harassment, or other unlawful activity.
- Attempt unauthorized access to systems or data, bypass access controls, or introduce malicious code.
- Disrupt the website or send automated traffic that unreasonably burdens its infrastructure.

The Sidebot name, logo, original website content, and other materials are owned by Sidebot or used with permission, except where another owner is identified. Third-party software, fonts, and icons remain subject to their respective licenses.
You may view the website, link to it, and retain reasonable copies for evaluating our services. Other reuse of protected content requires permission unless applicable law or a relevant license allows it. No ownership of Sidebot branding or client deliverables transfers through website use.
5. Information you send us
Only send information you have the right to share. You retain any ownership rights in the materials you provide; sending an inquiry does not transfer those rights to Sidebot. We may review and use the materials to evaluate and respond to your request.
An initial inquiry does not create a nondisclosure agreement. Please arrange confidentiality terms and an appropriate transfer method before sending trade secrets, credentials, personal datasets, or other sensitive project materials. 6. Software and AI services
References to AI, automation, prototypes, or scalable architecture describe types of work we can discuss with you. Suitability, performance, security requirements, and technical limitations must be assessed for the particular project.
The website does not provide an interactive AI tool or generate advice. Any AI system developed under a separate agreement may produce inaccurate or incomplete output and may require human review. Project-specific responsibilities and safeguards belong in that agreement.
7. Third-party services and links
Email and phone links use your own communications applications. External services and websites may have separate terms and privacy policies. We do not control their availability or content, and a link does not necessarily imply an endorsement.
8. Website availability and information
We may update, correct, suspend, or discontinue parts of the website. We aim to keep its information useful, but do not guarantee that every description is complete, current, or free from error. Contact us to confirm details that affect a project decision.
To the extent permitted by applicable law, this informational website is provided "as is" and "as available," without warranties of uninterrupted availability, fitness for a particular purpose, or freedom from errors or harmful components. This paragraph does not change any express warranty in a separate project agreement or any right that the law does not allow us to exclude.
9. Limits of responsibility
To the extent permitted by applicable law, Sidebot is not liable for indirect, incidental, special, or consequential losses resulting from use of, or inability to use, this informational website.
Nothing in these Terms excludes or limits liability for fraud, willful misconduct, or any liability that cannot lawfully be excluded or limited. Mandatory consumer protections remain in effect. Liability relating to paid project services is governed by the applicable project agreement and law.
10. Applicable law and concerns
These website Terms are governed by the laws of the State of Arizona, United States, except where mandatory laws require otherwise. This choice does not deprive you of rights or remedies that apply under mandatory law where you live.

11. Changes to these Terms
We may update these Terms by posting a revised version and changing the date above. Changes apply prospectively. Where applicable law requires notice or agreement to a change, we will follow that requirement.
Updates to these website Terms do not amend an existing client agreement. Any amendment to a client agreement must follow the process specified in that agreement. If a provision of these Terms cannot be enforced, the remaining provisions continue to apply to the extent permitted by law.
